Registration Of Companies In Jamaica

Companies may be incorporated to do business in Jamaica under the Jamaican Companies Act or alternatively, where a company already exists overseas, that company may be registered under the Act without the need for incorporation. There is a minimum requirement of two shareholders for each Company and a minimum authorized share capital of $100.00 Jamaican Dollars.

The Office of the Registrar of Companies is the agency responsible for the administration of Companies and it now offers useful computerized and internet based services for walk in customers.

The entire process of incorporating a company takes approximately 2 weeks.

Where a company is incorporated in Jamaica, there is generally no bar to the shares of that company being owned by a person that is not Jamaican. If however that individual is resident in Jamaica he would have to provide a Taxpayer Registration Number (TRN), similar to the American Social Security Number, when any allotment of shares are made to him or where there is a transfer of those shares.

Companies are also generally required to obtain a TRN number and to register with tax authorities and certain other statutory agencies. Work permits may also be necessary should the company wish to employ persons who are not qualified CARICOM Nationals.
